User Agreement
This User Agreement sets out the terms that apply when you use Boogir. Please read it together with our Privacy Policy, Cookie Policy, Payments and Refunds Policy, Creator Earnings Terms, and Community Guidelines, which form part of it.
Section 7 limits our liability to you and section 9 explains how disputes are resolved, so please read them carefully.
Boogir is an online publishing platform where people read and write articles, documents, news, events, reviews, and live video to share what they know, organized into spaces. Many posts are free to read, and some are available only to readers with a paid plan.
1.1. The Contract
By clicking “Register”, “Sign In”, or a similar button, or by accessing or using our Services, you agree to enter into a legally binding contract with Boogir, even if you use the Services on behalf of a company. We call this contract the “Contract” or the “User Agreement”. If you use the Services on behalf of a company or other organization, you confirm that you are authorized to accept this Contract for it.
If you do not agree to this Contract, do not click “Register”, “Sign In”, or a similar button, and do not access or use our Services. You can end this Contract at any time by closing your account and no longer accessing or using our Services.
1.2. Services Covered
This Contract applies to Boogir.com, Boogir-branded apps, including our mobile app, and the related services we provide (together, the “Services”). Registered users of the Services are “Members”, and unregistered users are “Visitors”.
1.3. Who You Are Contracting With
You are entering into this Contract with Acmenia, the company that provides Boogir (“Boogir”, “we”, “us”, or “our”). Boogir is the controller of the personal data you provide to us, that we collect, or that we process in connection with the Services.
Whether you are a Visitor or a Member, the collection, use, and sharing of your personal data is governed by our Privacy Policy, which includes our Cookie Policy and the other documents it references, as updated from time to time.
1.4. Your Talkou Account
You sign in to Boogir with a Talkou account. Talkou is another Acmenia service, and Boogir uses it for sign-in, messaging, and wallets. Your use of Talkou is also governed by Talkou’s own terms, and if your Talkou account is suspended or closed, you may lose access to Boogir.
1.5. Changes to These Terms
We may update this Contract, our Privacy Policy, and our other policies from time to time. If we make material changes, we will notify you through the Services or by other means before the changes take effect, so that you have a chance to review them. Changes will not apply retroactively.
If you do not agree to a change, you can close your account. If you keep using the Services after we publish or send notice of the changes, you agree to the updated terms from their effective date.
2.1. Acceptable Use
You must use the Boogir platform only as this Contract allows. You may not:
- Decompile, reverse engineer, disassemble, or decrypt the platform, or otherwise try to derive its source code;
- Break any applicable law, rule, or regulation when you access or use the platform;
- Sell, assign, license, disclose, distribute, or otherwise transfer or make available the platform, or any copy of it, to any third party;
- Use bots, scrapers, crawlers, or other automated means to access the Services, collect content or data from them, or create accounts, unless we have given you written permission;
- Use content or data from the Services to train artificial intelligence or machine learning models without our written permission and that of the content’s owners;
- Interfere with or disrupt the Services, probe or test their vulnerability without our permission, get around our security measures, rate limits, or access controls, or upload viruses or other malicious code;
- Use the Services for spam, fraud, phishing, or pyramid schemes, or to sell or promote illegal goods or services;
- Buy, sell, or rent accounts, spaces, followers, views, votes, or unlocks;
- Threaten violence, directly or indirectly, promote violence or terrorism, or post adult or pornographic content;
- Harass anyone, or encourage others to target someone with abuse or harassment;
- Promote violence against, attack, or threaten people on the basis of race, ethnicity, national origin, sexual orientation, gender, gender identity, religious affiliation, age, disability, or disease, or run an account whose main purpose is to incite harm against others on these grounds;
- Publish other people’s private or confidential information, such as credit card numbers, home addresses, or Social Security or national identity numbers, without their express permission, or post intimate photos or videos that were taken or shared without the consent of the person shown;
- Impersonate any person or organization in a way that is intended to mislead, confuse, or deceive others.
If an account, or any account related to it, takes part in these activities, we may lock it temporarily or suspend it permanently.
2.2. Scope of License
We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Boogir platform on any mobile device or computer that you own or control, for your own use and in line with this Contract. You may not distribute the platform or make it available over a network where several devices could use it at the same time.
2.3. Apps from Apple and Google
If you downloaded the Boogir app from the Apple App Store or Google Play, this Contract is between you and Boogir only, not Apple or Google, and Boogir, not Apple or Google, is responsible for the app and its content. Apple and its subsidiaries are third-party beneficiaries of this Contract and may enforce it against you as it relates to the iOS app. You must also follow the store’s own terms when you use the app.
3.1. Eligibility
You must be at least the Minimum Age to use the Services. The “Minimum Age” is 16 years old. If the law where you live requires you to be older for Boogir to lawfully provide the Services to you without parental consent, the Minimum Age is that older age.
You may not use the Services if we have previously closed your account for a breach of this Contract, or if you are subject to sanctions or other legal restrictions that prevent us from providing the Services to you.
3.2. Your Account
Members are account holders. You agree to: (1) give accurate information about yourself and keep it up to date; (2) keep your sign-in methods, such as your passcode, passkey, and devices, secure and confidential; (3) not transfer any part of your account, such as a space, to anyone else; and (4) follow the law and the acceptable use rules in section 2.1. You are responsible for everything that happens through your account unless you close it or report its misuse to us.
3.3. Spaces
If you create or own a space, you are responsible for it, including the posts that its owners, managers, and moderators approve and any rules it sets. Owners and managers decide who helps run a space and are responsible for what those people do in it. A space for a company or other organization must be created by someone authorized to act for it.
3.4. Notices and Messages
We send you notices and messages in two ways: (1) within the Services; or (2) using the contact information you have given us, such as your email address, mobile number, or postal address. You agree to keep your contact information up to date.
4.1. Acceptable Content
Boogir is a place to share content about business, science, technology, and related topics. Content on Boogir should be helpful, insightful, inspiring, and useful to readers, and it must follow our Community Guidelines. As a Member, you agree not to post, or comment with, content that:
- Is shocking, or promotes hatred, intolerance, discrimination (including racial discrimination), violence, bullying, or the intimidation of an individual or group;
- Shows hate-group paraphernalia, or graphic images of crime scenes or accidents;
- Depicts or promotes cruelty to animals, murder, self-harm, extortion, or blackmail;
- Offers endangered species for sale or trade;
- Advertises anything using profane language.
4.2. Your Content
Boogir lets you add posts, text, documents, photos, videos, live streams, links, and other material to share with other users. Everything you upload, publish, display, or send to others through Boogir is “Your Content”. Your Content stays yours: you keep ownership of it, subject only to the non-exclusive license you grant us in section 5.1.
You understand and agree that Your Content may be viewed by the general public.
4.3. Your Responsibility for Your Content
You are solely responsible for Your Content and for the consequences of posting it. Boogir does not endorse Your Content or any opinion expressed in it, and it does not represent Boogir’s views. You confirm that you own Your Content or have every right, license, and permission needed to post it and to grant the license in section 5.1, and that it does not infringe anyone’s intellectual property, privacy, publicity, or other rights, or defame anyone.
4.4. Reviews, Criticism, and Allegations
When you review a product, company, or person, base the review on your own genuine experience and disclose any connection that could affect it, such as being paid, employed, or given something for free. Statements that someone has acted illegally must be true, or clearly presented as your opinion. You, not Boogir, are responsible for what you state or allege.
4.5. Paid Promotion
If you pay to promote a post, for example with an Audience plan, or if someone pays or rewards you for a post, you are responsible for making that clear where the law requires it, and for making sure the post and anything it promotes comply with advertising, consumer protection, and other applicable laws.
4.6. Live Video
When you go live, your stream is shown to others as it happens, and Boogir cannot review it in advance. When the stream ends, its recording becomes the post’s video and is treated like any other content. You are responsible for getting any consent the law requires from people who can be seen or heard in your stream.
5.1. Your License to Boogir
As between you and Boogir, you own the content and information that you submit or post to the Services. You grant Boogir only the following non-exclusive license:
A worldwide, transferable, and sublicensable right to use, copy, modify, distribute, publish, and process the information and content you provide through the Services and the services of others, without further consent, notice, or compensation to you or others. These rights are limited as follows:
- You can end this license for specific content by deleting it from the Services, or for all your content by closing your account, except (a) to the extent you shared it with others as part of the Services and they copied, re-shared, or stored it, and (b) for the reasonable time it takes to remove it from backup and other systems.
- We will not include your content in advertisements for third-party products and services shown to others, including sponsored content, without your separate consent. However, we may show promoted posts near your content and information without paying you or anyone else, and your social actions, such as votes, comments, follows, and shares, may be visible next to them, as described in our Privacy Policy.
- If you use a feature of the Services, we may mention that, with your name or photo, to promote the feature within the Services, subject to your settings.
- We may edit your content or change its format, for example by translating or transcribing it, changing its size, layout, or file type, or removing metadata, but we will not change its meaning.
You and Boogir agree that we may access, store, process, and use any information and personal data you provide in line with our Privacy Policy and your choices, including your settings.
If you send us suggestions or other feedback about the Services, you agree that Boogir may use and share that feedback for any purpose without compensating you, although we are not obliged to use it.
You agree to provide only content and information that does not break the law or infringe anyone’s rights, including intellectual property rights, and you agree that your profile information will be truthful. Boogir may be required by law to remove certain information or content in certain countries.
5.2. Service Availability
We may change, suspend, or discontinue any of the Services, or any feature of them. We may also change our prices for the future, with reasonable notice, to the extent the law allows.
Boogir is not a storage service. We do not promise to store or keep showing any information or content you post, and you agree that we have no obligation to store, maintain, or give you a copy of any content or information that you or others provide, except as required by applicable law and as described in our Privacy Policy. Keep your own copy of anything you want to keep.
5.3. Other Content, Sites, and Apps
When you use the Services, you may come across content or information that is inaccurate, incomplete, delayed, misleading, illegal, offensive, or otherwise harmful. Boogir does not review all content before it is published and has no general obligation to monitor content, although we may review it, with people and with automated systems, and act on it as described in our Community Guidelines. You agree that we are not responsible for content or information provided by others, including other Members, or for any misuse of the Services by others.
The Services may link to, or embed content from, third-party sites and apps, such as videos and social media posts. We do not control them and are not responsible for them, and your use of them is governed by their own terms and privacy policies.
5.4. Limits
Boogir may limit how you use the Services, including the number of your posts, comments, votes, questions, and messages, and other activity. Boogir may restrict, suspend, or close your account if you breach this Contract or the law, or misuse the Services, for example by breaking the acceptable use rules in section 2.1.
5.5. Intellectual Property
Boogir reserves all of its intellectual property rights in the Services. Boogir, the Boogir logos, and the other Boogir trademarks, service marks, graphics, and logos used for the Services are trademarks or registered trademarks of Boogir. Other trademarks and logos used in connection with the Services belong to their respective owners.
5.6. Copyright and Repeat Infringers
We respond to notices of alleged copyright infringement as described in our Community Guidelines. In appropriate circumstances, we close the accounts of Members who repeatedly infringe the rights of others.
5.7. Automated Processing and AI
We use the information and data you provide to recommend spaces, content you may like, and features that may be useful to you. Keeping your profile accurate and up to date helps make these recommendations more accurate and relevant.
Some features use artificial intelligence, including AI models provided by third parties. For example, the help assistant answers questions from Boogir’s help documents, and automated systems check content for breaches of our Community Guidelines. AI output can be inaccurate or incomplete, so check anything important yourself and do not treat it as professional advice.
6.1. The Services Are Provided “As Is”
To the extent the law allows, Boogir provides the Services “as is” and “as available”, without any warranty, express or implied, including warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement. We do not promise that the Services will be uninterrupted, secure, or free of errors, or that any content will stay available.
6.2. No Professional Advice
Articles, answers, reviews, and other content on Boogir are written by Members and reflect their own views, not Boogir’s. They are for general information only and are not legal, financial, investment, medical, tax, or other professional advice. Get advice from a qualified professional before acting on anything you read on Boogir.
6.3. Third-Party Services
Parts of the Services rely on services provided by others, such as app stores, payment and payout providers, AI providers, and Talkou. To the extent the law allows, we are not responsible for their acts, omissions, or availability.
7.1. Excluded Losses
To the fullest extent the law allows, Boogir will not be liable to you or anyone else for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, opportunities, reputation, profits, or revenue, arising out of or in connection with this Contract or the Services, even if we were told such damages were possible.
7.2. Liability Cap
To the fullest extent the law allows, Boogir’s total liability to you for all claims arising out of or in connection with this Contract or the Services will not exceed the greater of (a) the total amount you paid to use Boogir’s paid features in the twelve months before the event that gave rise to the claim, and (b) USD 100.
7.3. What These Limits Do Not Cover
These limits do not apply where the law does not allow them, including liability for death or personal injury caused by negligence, for fraud, or for rights that consumers cannot give up under the law of the country where they live.
7.4. Your Indemnity
To the extent the law allows, you agree to defend and indemnify Boogir, its affiliates, and their officers, employees, and agents against any third-party claims, and the losses, liabilities, and costs, including reasonable legal fees, that arise out of Your Content, your use of the Services, or your breach of this Contract or the law. This does not apply to you as a consumer where the law of the country where you live does not allow it.
8.1. By You
You can end this Contract at any time by deleting your account in Settings, as described in our Privacy Policy. Your account and its data are permanently deleted 30 days after your request, and you can cancel the deletion by signing in again during those 30 days.
8.2. By Boogir
We may suspend or close your account, or a space you own, if you breach this Contract, our Community Guidelines, or the law, if we have to do so to comply with the law, if your use of the Services creates risk or possible legal exposure for Boogir or others, or if we stop providing the Services in your country. Where it is reasonable and lawful, we will tell you first and give you a chance to fix the problem.
8.3. What Happens Next
When your account is closed, your paid plans stop renewing and you lose access to them. Credits in your wallet stay in your Talkou wallet, which is not closed with your Boogir account. If we close an account or space because of a breach, plan time already paid for is not refunded, and earnings gained through the breach may be withheld, as described in our Creator Earnings Terms.
Sections 4.3, 5.1, 6, 7, 8.3, 9, and 10 continue to apply after this Contract ends, along with any payment obligations that arose before it ended.
9.1. Talk to Us First
If you have a dispute with Boogir, contact us first as described in section 10. Most problems can be solved quickly this way, and both of us agree to try in good faith to settle the dispute informally for at least 60 days before either of us starts formal proceedings.
9.2. Governing Law
This Contract and any dispute arising out of or in connection with it are governed by the laws of the place where Boogir is established, without regard to conflict of laws rules. If you use the Services as a consumer, this does not take away the protection of the mandatory laws of the country where you live, and you may also bring a claim in the courts of that country.
9.3. Individual Claims Only
To the extent the law allows, you and Boogir each agree to bring claims against the other only on an individual basis, and not as a plaintiff or class member in any class, collective, or representative proceeding.
9.4. Time Limit
To the extent the law allows, any claim arising out of or in connection with this Contract or the Services must be brought within one year after it arose, or it is permanently barred.
10.1. General Terms
This Contract, together with the policies and terms it refers to, is the entire agreement between you and Boogir about the Services and replaces any earlier agreement on the same subject. If a court finds any part of this Contract unenforceable, that part is limited to the minimum extent necessary and the rest stays in effect. If we do not enforce a part of this Contract straight away, we have not waived our right to enforce it later. You may not transfer this Contract to anyone else. We may transfer it to an affiliate or to a company that takes over the Services, and we will tell you if we do. If this Contract is translated, the English version prevails to the extent the law allows.
10.2. Events Beyond Our Control
We are not responsible for any failure or delay in providing the Services that is caused by events beyond our reasonable control, such as natural disasters, war, unrest, network or power failures, cyberattacks, or the actions of governments or service providers.
10.3. Contact Us
If you have a question about this Contract, a complaint, or a legal notice for Boogir, send us a message through the Services. We send notices to you through the Services, and to the email address or mobile number on your account.
